The Impact of Board Composition and Marketing and R&D Investment Strategy on the Company Performance – Taiwanese OTC Listed Companies

Popis: | 107 In recent years, there were many cases of corporate governance frauds have occurred in Taiwan, such as Luo Jie Construction Company short-selling case, Kuang San Group illegal loan case, etc. These frauds have highlighted out the problem of inadequacy of corporate governance laws. In the same time, from these frauds, the government and the public have started to realize the importance of corporate governance and its related issues. The board of directors is the core of corporate governance related issues, especially the impact of board composition and ability on marketing and research development investment strategies and the company performance. Different board composition and marketing and research development investment strategies will have different degrees of impact on the companys business performance. Furthermore, different board composition will have different investment strategies for marketing and research development, which, in the end, will affect the companys business performance. Therefore, the purpose of this study is to explore the relationship between the composition of the board of directors, research and development investment strategy, and the companys performance. To achieve the purpose of the research, this study is going to obtain the OTC(Over-The-Counter) -listed companies’ data form Taiwanese Economic Journal (TEJ). The companys public annual report in the period between 2014 and 2017. This study is going to use multiple regression method to analyze data and verify the research hypothesis. The results of the study show that the number of independent directors and the shareholding ratio of the board of directors have a significant impact on the companys performance. Moreover, the leadership structure, size, internal board seats, independent board seats and the shareholding ratio of the board of directors also have a significant impact on the investment strategy of marketing and research development. Finally, the research results also show that only the research and development investment strategy has a significant impact on the companys performance, while the marketing investment strategy has no significant impact on the companys performance. |
