The Study on the Relation between Industry and Corporate Governance

| Popis: | 89 Since the later half of 1998 after the Asian financial crisis and economic recession, many firms in Taiwan had been found to be in financial distress due to failure in corporate governance. The board of directors plays a critical role in directing and monitoring corporate performance, and many kinds of characteristics of a board may affect the effectiveness of the role played by the board. The study is to observe the difference between high technology firms and traditional firms in industrial factors and corporate governance and to discuss the connection between industrial factors and corporate governance. The templates aimed at enterprises on market in 1999 except financial business data and insufficient data are 472 units for cross—sectional analysis. We began with a fundamental analysis of the sample data and used the statistical testing and the analysis of correlation on different variables according to their properties. The findings of this study are summarized as follows. First, there exists difference between high technology firms and traditional firms in corporate governance factors. The corporate governance factors that the study used are the percentage of directors’ shareholding, the rate of directors’ stock mortgaging, the effective percentage of directors’ shareholding, the proportion of the largest institutional directors, the average size of a board, and the dual appointment of board chairperson and CEO. Next, according to the study industrial factors exist difference between high technology firms and traditional firms. Finally, even though the board of directors is responsible to all stockholders for corporate performance, the corporate performance is deeply influenced by industrial structure. According to industrial structure the study chose four industrial factors to analyze and found that there is a degree of connection between industrial factors and corporate governance. |
