TRANSFER OF A FAMILY BUSINESS TO YOUNGER GENERATION

Popis: Razvoj podjetništva in kasneje gospodarskih družb v Sloveniji se je pričel že v osemdesetih letih prejšnjega stoletja. Viden razvoj se je pokazal po osamosvojitvi Republike Slovenije, kar je omogočalo prenos lastninskih pravic, ukinitev samoupravnega sistema in temeljno organizacijo dela (TOZD in OZD so bile oblike organizacije združenega dela v Socialistični Republiki Sloveniji). Znotraj njih je bilo omogočeno obrtništvo, ki je sodelovalo z gospodarstvi. Samostojni podjetnik, se je skozi razvoj gospodarstva oblikoval kot družinsko podjetje, ki ga vodi samostojni podjetnik, sodeluje in pomaga pa mu celotna družina. Mnoga takšna podjetja so se razvila v gospodarske družbe, oblikovane kot družbe z omejeno odgovornostjo, nekatera pa so se razvila celo v delniško družbo. V diplomskem delu sta opisani dve družinski podjetji in sicer Agroma s.p. in Znass d.o.o.. V Agromi je že prišlo do prenosa, v Znass-u pa o tem šele razmišljajo. Glede na možne oblike prenosa sem za Znass izbrala najprimernejšo. Za primer Agroma pa sem preučila ali je bila njihova odločitev primerna. V obeh primerih sta ustanovitelja zelo navezana na podjetje, saj sta ga vodila od samega začetka. Prav zato moramo odločitve ustanoviteljev za umik iz podjetja in njegov prenos na mlajšo generacijo vzeti za zelo premišljeno in pomembno dejanje. Development of enterprise and afterward economic companies in Slovenia started already in eighty years of former century. Visible development was showed round independence of Republic of Slovenia which was allowing transfer of proprietary rights. Business was allowed inside them, that was cooperating with economies. Sole proprietor has formed through the development of economy as family business, that sole proprietor guides him entire family cooperates and help him. Many such companies are developed to economic societies formed as Limited Liability Company some are developed to joint-stock company. Two family businesses are described in degree, these two companies are called Agroma and Znass. In Agroma transfer has already happened, in Znass they are considering about that. I have chosen the most appropriate way of transfer for Znass Company. For Agroma I have studied if their decision was suitable. In both cases directors are much attached to companies, because they led the companies from the early beginning. We must take decisions of directors for retreat from company and transfer on younger generation very well thought-out and important act.
