| Popis: | Diplomsko delo z naslovom Individualne in kolektivne pravice delničarjev na skupščini delniške družbe, seznanja bralca s pravicami delničarjev, ki so posledica korporacijskega razmerja med delničarji in družbo, s katerim se omejuje in opredeljuje obseg pravic in obveznosti posameznega deležnika tega razmerja. V uvodu je opredeljen problem diplomskega dela ter tudi namen in cilj naloge, ki se nanaša na sistematično predstavitev pravic delničarjev na skupščini in vprašanje poznavanja teh pravic in posledično uporaba v praksi. V naslednjih poglavjih je predstavljena delniška družba ter način njenega delovanja s predstavitvijo vloge posameznega organa, saj menim, da je poznavanje in razumevanje razmerij pomembno za bralca iz razloga razumevanja posameznega instituta varovanja pravic delničarjev. Ker se večina pravic, tako individualnih kot kolektivnih, uresničuje na skupščini delniške družbe, sem skupščini namenil posebno poglavje. Po predstavitvi pravic delničarjev na splošno, sledi jedro diplomskega dela, kjer so predstavljene posamezne korporacijske in manjšinske pravice delničarjev, ter njihovo uresničevanje na delniški skupščini, s katerim bralec pridobi občutek obsega varstva, ki ga je deležen delničar po Zakonu o gospodarskih družbah. V zadnjem delu jedra je opisano varstvo delničarjev v angloameriškem in kontinentalnem pravnem sistemu, kar bralcu omogoča primerjavo s tujimi pravnimi redi in tako zaokrožuje pregled v zaključeno celoto. The thesis entitled “Individual and collective rights of shareholders in the Shareholders' Meeting” informs the reader about the rights of shareholders. They are a result of the corporate relationship between shareholders and management and supervisory bodies that restricts and defines the rights and obligations of each stakeholder in this relationship. The introduction defines the problem of the thesis as well as the purpose and the aim of the study which refers to the systematic presentation of shareholders' rights in general and exposes the issue of understanding them and also the impact of their use in practice. In the following chapters I present the joint stock company in general, followed by the role of each body in the joint-stock company because in my opinion the knowledge and understanding of their relationships is important for the reader, mainly to understand each individual institute for the protection of the rights of shareholders. Since most of the rights, both individual and collective, are implemented at the Shareholders' Meeting I have dedicated a short and specific chapter to the representation of its role it has in the joint-stock company. After the presentation of the shareholders 'rights in general, in the body of the thesis, I present each corporation and minority shareholders' rights and their realization in the Shareholders' Meeting to illustrate the extent of protection granted to the shareholder by the Law on Companies. The last part of the body describes protection of the shareholders in common law and continental legal system so the reader can compare both individual and collective shareholders rights in Slovenian law system to foreign legal systems. |
