| Popis: | Australian law inherited and evolved from the British law, the company law is no exception. However, the Companies Act of Australia also absorbed the United States law later. It's similar with Japan from this perspective. The Companies Act of Japan requires the director's liability for Damages of Officers, and the Companies Act of Australia provides an obligation of the directors to prevent insolvent trading, both have the legal effect to protect creditors of the company.This paper gives a more comprehensive introduction on the director's duty in the Companies Act of Australia, and conducts a preliminary study. 13 KJ00007772580 論文 |
