| Popis: | DOI: http://dx.doi.org/10.12957/rqi.2012.9876 Trabalho recebido e avaliado pelo Conselho executivo da Revista Quaestio Iuris Resumo O presente artigo busca investigar, no contexto da boa-fe objetiva, a proibicao de concorrencia acessoria (ancilar) no âmbito do contrato de trespasse (compra e venda do estabelecimento empresarial), positivada no artigo 1.147 do Codigo Civil de 2002. Procura analisar ainda a proibicao de concorrencia acessoria em outros negocios empresariais, como na cisao parcial do contrato de sociedade, no contrato de franquia (franchising), no contrato de cooperacao empresarial (joint venture) e, por fim, no contrato de shopping center. Na abordagem de tais analises emprega o chamado metodo civil-constitucional, compreendido como um sistema que promove, ao lado da observância da lei, outros componentes culturais axiologicos, como a justica social e a solidariedade, que devem atuar na efetivacao do valor supremo da dignidade da pessoa humana. Abstract This paper investigates , in the context of objective good faith , the prohibition of ancillary competition (ancillary) under the trespass contract (purchase and sale of business property) , positively valued in article 1147 of the Civil Code of 2002 . It also seeks to analyze the non-compete clause ancillary to other business deals, such as partial demerger of Association, in the franchise agreement (franchising), the business cooperation contract (joint venture) and, finally, in the shopping center contract. In such analyzes approach employs the so-called civil -constitutional method, understood as a system that promotes beside the observance of the law, axiological other cultural components, such as social justice and solidarity, which must act in the realization of the supreme value of the dignity of human person.
