The duty of loyalty in partnership law requires partnership members to actively and loyally participate in the decision-making process of the partnership. If the partners are facing conflicts of interest, disloyal voting may occur if the interest of the company is not adequately taken into account. The point at which the threshold of disloyalty is reached depends on the specific item of the resolution. Generally speaking, the interests of the partnership take precedence over the personal interests of the members in the case of partnership resolutions on management measures, whereas it is altogether more legitimate to pursue egoistic objectives when adopting fundamental resolutions that concern the members’ individual sphere. |
