Spanish Abstract: La migracion societaria supone el traslado de una compania a una jurisdiccion extranjera, manteniendo su personalidad juridica durante dicho proceso. En otras palabras, esta figura comprende la relocalizacion del domicilio social de una compania bajo el ordenamiento societario del Estado receptor. Este ensayo analizara los dos tipos de migracion societaria reconocidos en la Ley de Companias del Ecuador: 1) La inmigracion societaria al territorio ecuatoriano; y, 2) La emigracion societaria a territorio extranjero. Este ensayo concluye que, bajo la regulacion ecuatoriana, el regimen legal de la inmigracion societaria es apropiado. Sin embargo, la emigracion societaria al extranjero no ha sido regulada de manera adecuada. El presente ensayo buscara determinar las caracteristicas y efectos, bajo la Ley de Companias del Ecuador, de ambos tipos de migracion corporativa, y tambien formular sugerencias tendientes a clarificar el alcance de este importante principio societario. English Abstract: Corporate migration is defined as the relocation of a company to a foreign jurisdiction, without losing its legal personality during that process. In other words, this legal concept involves the resettlement of a company’s seat under the corporate regulation of the host country. This paper analyses the two types of corporate migration recognised by the Ecuadorian Companies Act: 1) The corporate immigration of an overseas company to Ecuador; and, 2) The corporate emigration of an Ecuadorian company to a foreign jurisdiction. As to corporate immigration, this paper argues that the provisions of the Ecuadorian Companies Act are appropriate. However, the principle of corporate emigration to a foreign country has not been adequately regulated. This paper aims to determine both the characteristics and effects, under the Ecuadorian Companies Act, of the two types of corporate migration, and seeks to propose some alternatives to clarify the scope of this important corporate concept. |
