Abstrakt: The article discusses recent developments in U.S. securities laws and corporate finance. On July 21, 2010, President Barack Obama signed into law the Dodd-Frank Act, which affects the financial services industry and all public companies. The Dodd-Frank Act imposes requirements related to executive compensation and enhances compensation disclosure obligations. On March 30, 2011, the Securities & Exchange Commission (SEC) voted to propose rules implementing Section 952 of the Dodd-Frank Act.
