The article looks into the fiduciary duties of a parent company's directors on a subsidiary's insolvency in the U.S. It discusses the effects of insolvency on fiduciary duties and looks into opinions of the U.S. Bankruptcy Court for the Southern District of Florida in In re TOUSA, Inc., and Delaware Court of Chancery's USACafes opinion. It concludes that the Delaware case law does not fully support the TOUSA court's result. |
