Abstrakt: The article evaluates the constitutionality of the Quiet Period Rules for public offerings of the U.S. Securities Act, which states that an investor should make investment decisions as per a prospectus disclosures rather than the information provided by a company. It informs that the rules raise corporate free speech issues under the commercial speech and political speech regulations. It discusses amendments that are necessitated under the U.S. Jumpstart Our Business Startups Act (JOBS).
