Abstrakt:	The article discusses the sufficient scope in the adoption of corporate governance system with non-executive directors and auditors in Great Britain's legal system. It demonstrates the potential of a committee charged to encourage the development of a more prudent business ethic prompted at the legislative level and conferred with initiative for shareholder protection. It concludes that continental hyper-protective legislative frameworks may offer an interesting model in businesses.
